Terms of Service

These terms govern your use of the Semper platform ("Service") operated by Semper Agent Limited (Company No. 17165431) ("we", "us", "our"), a company registered in England and Wales.

1. The Service

Semper provides AI-powered WhatsApp assistants for small businesses. We deploy, host, and manage an AI agent that handles customer enquiries, bookings, and communications on your behalf via WhatsApp.

2. Eligibility

You must be at least 18 years old and have the authority to enter into this agreement on behalf of your business. By signing up, you confirm that the information you provide is accurate.

3. Account and access

When you sign up, we create an account with login credentials sent to your WhatsApp number and email. You are responsible for keeping your credentials secure. Notify us immediately if you suspect unauthorised access.

4. Free trial

New accounts receive a 30-day free trial. A valid payment method is required to start the trial. You will not be charged during the trial period. After 30 days, your subscription begins automatically at the rate for your chosen plan. You may cancel at any time before the trial ends to avoid being charged.

5. Subscription and payment

Subscriptions are billed monthly via Stripe. Prices are as displayed at the time of signup. We may change pricing with 30 days' notice. You can manage your subscription, update payment methods, or cancel via the Stripe Customer Portal accessible from your dashboard.

If a payment fails, we will attempt to collect it again. If payment continues to fail, we may suspend your account until the balance is resolved.

6. What we provide

• A dedicated WhatsApp number for your business (subject to availability)
• An AI assistant configured for your business type, services, hours, and pricing
• A web dashboard for managing bookings, customers, and conversations
• Automated booking reminders, follow-ups, and daily digests
• Ongoing hosting, maintenance, and updates to the platform

7. What we do not provide

• Legal, financial, or medical advice through the AI agent
• Guarantees that the AI will never make errors — it is an AI, not a human
• Uptime guarantees beyond commercially reasonable efforts
• Data recovery if you delete your own data from the dashboard

8. Your responsibilities

• Ensure the information in your account (business name, hours, services, pricing) is accurate and up to date
• Monitor your dashboard regularly for bookings, escalations, and customer messages
• Respond to urgent escalations forwarded to you by the AI
• Comply with all applicable laws, including data protection regulations
• Not use the Service for any unlawful, fraudulent, or harmful purpose

9. AI limitations

The AI assistant is powered by large language models. While highly capable, it may occasionally produce incorrect or unexpected responses. You acknowledge that:

• The AI may misunderstand customer requests in rare cases
• Booking times suggested by the AI are based on the hours and availability you configure
• You should review bookings and conversations periodically
• We are not liable for any business loss resulting from AI errors

10. Data and privacy

We process personal data in accordance with our Privacy Policy. Customer messages, booking details, and business information are stored securely and used only to provide the Service.

11. Intellectual property

The Semper platform, including all code, templates, designs, and documentation, is owned by Semper Agent Limited (Company No. 17165431). Your business data remains yours. You grant us a licence to process it solely for providing the Service.

12. Cancellation

You may cancel your subscription at any time via the Stripe Customer Portal or by contacting us. Cancellation takes effect at the end of the current billing period. Upon cancellation:

• Your AI assistant will stop responding to messages
• Your WhatsApp number will be released
• Dashboard access will be removed
• Your data will be retained for 30 days, then permanently deleted

13. Limitation of liability

To the maximum extent permitted by law, Semper Agent Limited (Company No. 17165431) shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, business, or data, arising from your use of the Service. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

14. Changes to these terms

We may update these terms from time to time. We will notify you of material changes via email or WhatsApp. Continued use of the Service after changes constitutes acceptance.

15. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
